Terms of Service

1. Acceptance of Terms

By accessing or using the FundFlow platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

FundFlow provides a cloud-based platform for tracking and analyzing private equity fund flows, including Net Asset Value (NAV) development, distributions, and performance metrics. The Service is designed for institutional investors managing secondary and tertiary market portfolios.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful data
  • Scrape, crawl, or use automated means to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with third parties
  • Use the Service to compete with FundFlow

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to the Service ("Your Data"). FundFlow does not claim ownership of Your Data.

5.2 License to FundFlow

You grant FundFlow a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing the Service to you.

5.3 Data Accuracy

You are responsible for the accuracy and completeness of Your Data. FundFlow is not responsible for any errors or inaccuracies in the data you provide.

6. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by FundFlow and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

FundFlow grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

7. Payment Terms

If you subscribe to a paid plan:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of access

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

We target 99.9% uptime for paid plans, measured on a monthly basis. Scheduled maintenance windows will be communicated in advance when possible.

9. Confidentiality

We understand that Your Data may contain confidential financial information. We agree to maintain the confidentiality of Your Data and not disclose it to third parties except as required to provide the Service, as permitted by our Privacy Policy, or as required by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FundFlow does not warrant that the Service will be error-free, secure, or uninterrupted. The metrics and analytics provided by the Service are for informational purposes only and should not be considered financial advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless FundFlow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Either party may terminate this agreement:

  • At any time with 30 days' written notice
  • Immediately if the other party breaches these Terms

Upon termination, your right to use the Service will immediately cease. We will provide you an opportunity to export Your Data for 30 days following termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FundFlow is incorporated, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
